AdoptionDirectory.com is part of the advertising FamilyAds, L.L.C. promotes on the Adoption.com network of adoption-
related Websites. FamilyAds, L.L.C. is a service provided by Adoption Media, L.L.C., an Arizona Limited Liability
Company, which will be referred to in this document as "FamilyAds." The Adoption.com network is the Internet's #1
provider of adoption information and services, which provides millions of page views each month. The
AdoptionDirectory.com Web site is promoted throughout the Adoption.com network as its featured directory of adoption
professionals by FamilyAds.
A Premium Listing in Adoption Directory.com provides you with upgraded features, which are far superior to those of the
standard listing. These added features include an alphabetical listing displayed ahead of standard listings, displayed in
a more prominent font, a bolded name listing and links to your Web site where you can provide potential clients with
more detailed information about your qualifications and services, a link to your email, your logo, if desired, and a
preferred contact person in your office as well as toll-free, fax and office phone numbers. Plus you will be better
positioned in searches and can receive additional free listings in two categories (see page 3 of this agreement).
The Marquee Listing in AdoptionDirectory.com provides all the upgrades features of the Premium Listing plus premier
rotation near the top of the page with the limited listings highlighted to stand out. These limited listings display in rotation
allowing you equal opportunity to be #1 in the Marquee listings and not restricted to the alphabetical listing.
The Pinnacle Listing in AdoptionDirectory.com provides all the upgrades features of the Marquee and Premium Listings
but is limited to only one listing at the top of the page for each state, category, country or region, where applicable.
Pinnacle Listings are set apart from the other listings.

Conditions of Service
A. By applying for a listing on the AdoptionDirectory.com Web site, the Professional certifies that all
information provided in this Application is true, complete and correct, and acknowledges that the
Professional is solely responsible for the current and continuing truthfulness and accuracy of all
information provided. The Professional will promptly inform FamilyAds of any incorrect information,
defects or problems observed in all Listings.
B. The Professional may not lease, assign or transfer to anyone any rights or obligations that arise from
or exist under this Agreement.
C. FamilyAds may terminate this Agreement at any time if it determines that the Professional has been
involved in illegal, unethical or unprofessional conduct or activities, or in any other conduct or activities
that are not in harmony with the purposes, philosophy or mission of FamilyAds.
D. The Professional certifies that s/he is in compliance with all legal requirements that are necessary in
order to be engaged in the activities that are described in this Agreement, and that it will not violate
any laws for the Professional to enter into this Agreement, or for any of the clients of the Professional
to be listed on the ParentProfiles.com Web site.
E. Listings will not be linked to any Web sites displaying any illegal, offensive or otherwise inappropriate
content, including any offers of financial compensation to be paid to birthparents in connection with
adoption, other than for the reimbursement of normal and necessary adoption-related expenses, as
allowed by applicable state law.
F. All prices, products and services offered are subject to change at any time without prior notice.
G. This Agreement will be automatically renewed on a month-to-month basis, until it is terminated by
FamilyAds, or until the Professional provides a minimum two week notice in writing to discontinue the
covered listing(s) by doing all of the following: (1) send a cancellation fax on Professional letterhead to
480-446-0600, (2) calling 480-446-0500 to confirm receipt of the faxed cancellation notice, and (3)
send a cancellation email to directory@familyads.com. If the Professional is paying by credit card, the
Professional authorizes FamilyAds to process his/her credit card each month for the amount indicated
on page 5 until the Professional requests FamilyAds to discontinue the covered listing(s) as explained
above.
H. Arizona state law, with the exception of its conflict of law provisions, applies to this Agreement. The
courts in Maricopa County, Arizona shall have jurisdiction over any disputes relating to or arising out of
this Agreement.

I. This Agreement will take effect upon its executive by an authorized representative of FamilyAds, after
it has first been completed and executed by the Professional. FamilyAds reserves the right to refuse to
enter into this Agreement for any reason it deems appropriate.
J. This Agreement constitutes the entire agreement between the Professional and FamilyAds. No prior
correspondence or communication that is not contained in this Agreement shall be considered part of
the Agreement. Neither this Agreement, nor any of its individual terms may be modified, waived or
suspended in any way, unless the details of that action are preserved in a writing that has been signed
by both parties.
