                                          2008 PALINET EXHIBITOR AGREEMENT

1.   Application for Exhibit Space and Payment ­ Applications for space must be made on PALINET's Contract for
     Exhibit Space and executed by an individual with authority to act for the applicant (exhibitor). Phone or fax
     reservations will be accepted but confirmed booth assignment will not be made until payment is received. PALINET
     will make every effort to place exhibitors in their preferred position and separate exhibitors from competitors where
     requested. PALINET reserves the right to change location assignments at any time.
2.   Payment and Cancellation ­ Full Exhibit Space payment must accompany the Contract. Exhibitors may cancel this
     agreement by written notice to PALINET. Cancellations made prior to September 30, 2008, will be subject to a 50%
     cancellation fee, and no refunds will be made on cancellations made after September 30, 2008.
3.   Exhibit Space ­ A standard exhibit space package includes a 6-foot skirted table, two chairs and a wastebasket. Audio
     visual aids and/or equipment must be played at level that does not interfere with adjacent exhibitors.
4.   Use of Space ­ No exhibitor shall permit any other corporation or firm or its representatives to use the space allotted
     to the exhibitor, nor shall the exhibitor display articles not manufactured or sold normally by the exhibitor. Requests
     for co-participation by any other corporation or firm or its representatives in space assigned to the original applicant
     must be made in writing to PALINET. If permission is granted, there will be an additional charge of $150. Exhibitors
     may not sublet or assign space in whole or in part without prior consent of PALINET.
5.   Electricity Outlets, Telephone and Internet Connections ­ Forms will be provided by the hotel and exhibit
     management firm to order electrical outlets, telephone, and Internet lines.
6.   Limitation of Liability ­ The exhibitor agrees to indemnify PALINET against all claims, demands, actions, expenses,
     damages, penalties, or proceedings arising out of or in any way connected with the exhibitor's occupancy and use of
     the exhibition premises or any part thereof. Exhibitors will be required to meet the cost of making good any damage
     to floors, walls, structures, and accessories.
7.   Security and Insurance ­ PALINET will take reasonable care to ensure security in the exhibition area. PALINET will
     not be liable for damages or loss to exhibitor's property, nor shall PALINET be liable for any injury that may occur in
     the exhibition area. Exhibitors should make their own insurance agreements.
8.   Protection of Exhibit Hall Facility ­ Nothing shall be posted on or tacked, nailed, screwed or otherwise attached to
     columns, walls, floors, or other parts of the hotel or exhibit hall area without permission from the proper building
     authority and PALINET. Packing, unpacking and assembly of exhibits shall be done only in designated areas and in
     conformity with directions from PALINET and the hotel.
9.   Installation and Dismantling ­ Specific requirements as to time for installation and dismantling of exhibits is supplied
     to each exhibitor in the Vendor Fair promotion literature. Such requirements shall be binding. All displays must be in
     place by the time of the official opening of the exhibit. Space not occupied or set up by that time may be reassigned
     for other purposes. No exhibit shall be dismantled before the official closing time of the exhibit.
10. Default Occupancy ­ Any exhibitor failing to occupy space which has been contracted is not relieved of the
    obligation of paying for such space at the full rental price, and PALINET shall have the right to use such space as it
    sees fit to eliminate empty space in the exhibit hall, provided such booth space is not occupied one-half hour before
    the official show opening.
11. Distribution of Printed Material ­ Except within rented space, exhibitors may not distribute printed matter, samples,
    souvenirs and the like. Special distribution of such material elsewhere must be approved by PALINET.
12. Use of Paging System ­ The paging system in the Exhibit Hall is for the use of PALINET. Exhibitors wishing to make
    announcements may do so only with the approval of the meeting organizers.
13. Agreement to Conditions ­ Each exhibitor agrees to abide by these conditions, it being understood and agreed that
    the sole control of the exhibit rests with exhibition management.
14. Amendments ­ PALINET has sole authority to interpret and enforce all rules and regulations contained herein, and to
     make any amendments thereto and to make such further rules and regulations as shall be necessary for the orderly
     conduct of the exhibition.
